Notice Regarding Changes in Shareholders

Iwasaki Electric Co., Ltd. ("Iwasaki Electric") (Head Office: Chuo-ku, Tokyo; President and Chief Executive Officer: Yoshitake Ito) hereby announced that Stanley Electric Co., Ltd. ("Stanley Electric"), primarily engaged in automotive equipment and electronic components, and electronic application products, acquires all shares of Iwasaki Electric held by Carlyle (NASDAQ: CG), a global investment firm, with whom Iwasaki Electric has been advancing our corporate transformation following the privatization through the MBO in 2023.

Following the MBO, Iwasaki Electric has, through the institutionalized cooperation with Carlyle, established a robust business foundation designed to secure sustainable growth in the post-HID era by concurrently implementing manufacturing footprint reorganizations and delivering growth initiatives. Iwasaki Electric is committed to enter our next phase of growth with Stanley Electric and are excited to unlock new opportunities by leveraging our complementary capabilities and shared vision.

Iwasaki Electric, with its dual pillars of the Lighting Solutions Business and the Applied Optics and Environment Business, has established strong business relationships with government agencies and public sector entities based on its long-standing track record, mainly in outdoor and public lighting, and its extensive sales and service network. It also has extremely strong market competitiveness in industrial UV light sources and irradiation equipment used for curing, sterilization, heating, and other applications utilizing various light technology.

Stanley Electric group, guided by its core business philosophy of "the boundless pursuit of the Value of Light", develops, manufactures, and sells products that leverage the various properties of light through three businesses: the Automotive Equipment Business, centered on automotive lamps; the Electronic Component Business, which provides devices such as LEDs; and the Applied Electronic Product Business, which handles automotive sensors and optical modules and units.
